From UPI King to Public Listing: PhonePe’s Bumpy Road Ahead

As India’s fintech giant files for a $1.5 Bn IPO, questions rise around losses, valuation, and the future beyond payments.


PhonePe’s IPO: Big Numbers, Bigger Questions

PhonePe has confidentially filed its DRHP with SEBI for an IPO worth up to $1.5 Bn, aiming for a $15 Bn valuation. This move marks one of India’s largest fintech listings, but analysts are split on whether UPI dominance alone can justify such a high price tag — especially for a company that’s still loss-making.

  • FY25 losses narrowed by 13.5% to ₹1,727 Cr, but PhonePe remains far from profitability.
  • In contrast, Paytm turned profitable in Q1 FY26, highlighting the pressure on PhonePe to show better unit economics.

UPI Might Be Too Thin a Crutch

Despite holding a 46% market share in UPI, PhonePe’s business model is constrained by the zero-MDR (Merchant Discount Rate) regime. This means:

  • PhonePe earns little from payment volumes.
  • Revenue depends on interchange fees, soundbox subscriptions, and other indirect monetisation channels.

UPI is powerful, but unprofitable — a gilded cage that limits PhonePe’s earnings potential. Regulatory hurdles like the real-money gaming ban and GST scrutiny on merchants have also dented UPI volumes across platforms.


Diversification Is Underway, But Not Paying Off Yet

PhonePe has been actively diversifying — building services beyond payments:

  • Share.Market for investments
  • Indus Appstore to take on Google Play
  • Pincode in the quick commerce space
  • NBFC license for lending and credit plays

However, results have been mixed:

  • Despite its massive user base and data insights, lending has not scaled meaningfully.
  • Many new bets are in hyper-competitive sectors — with strong incumbents like Google, Amazon, and Zerodha.

This raises doubts about execution capability and the burn rate required to compete in so many verticals at once.


Valuation Hinge: Scale vs Sustainability

The upcoming IPO will test public market sentiment for high-growth, loss-making fintechs. Investors will ask:

  • Can PhonePe build profitable models beyond UPI?
  • Does the brand’s scale advantage translate into long-term value?
  • Is a $15 Bn valuation reasonable when the core business is barely monetising?

As India’s fintech regulation tightens, the need to show sustainable growth is more urgent than ever.

  • Backed by Ayushman Bharat Digital Mission (ABDM).
  • Offers home care, insurance, wellness, and digital records access.
  • Combines urban convenience with rural reach, addressing systemic gaps.

With India’s healthtech market projected to hit $50 Bn by 2033, Kokoro Bharat’s model could become a template for inclusive digital health.
