E-commerce giant Meesho has restructured its board following a reverse flip and merger into its Indian entity, as the company gears up for its anticipated IPO.

  • This board rejig aligns with common practices for firms preparing to go public and ensures compliance with SEBI’s governance norms.

Board Composition: New Faces and Retained Investors

Meesho’s restructured board now includes eight members and will be chaired by cofounder Vidit Aatrey, who continues as MD and CEO.

  • Cofounder and CTO Sanjeev Kumar serves as a whole-time director.
  • Only two of Meesho’s four top institutional investors retain seats: Peak XV Partners (represented by Mohit Bhatnagar) and Elevation Capital (represented by Mukul Arora), both as non-executive, non-independent directors.

Departure of SoftBank and Prosus Ventures

Under the new structure, SoftBank and Prosus Ventures have relinquished their board seats.

  • Previously, all four top institutional investors were represented on the board of Meesho’s US entity, Meesho Inc.

Strengthened Independent Oversight

Meesho’s new board includes four independent directors, enhancing governance and credibility ahead of the IPO:

  • Rohit Bhagat (former BlackRock APAC chairman)
  • Surojit Chatterjee (founder and CEO, Ema)
  • Hari Shanker Bhartia (founder and co-chairman, Jubilant Bhartia Group)
  • Kimsuka Narasimhan (former PepsiCo and Kimberly Clark executive)
    • Narasimhan replaces Kalpana Morparia (ex-JPMorgan South and Southeast Asia chair) on the board.

IPO Readiness: Regulatory and Strategic Considerations

The board changes come as Meesho prepares to file its Draft Red Herring Prospectus (DRHP), reportedly via a confidential route, targeting a $700 million to $800 million public issue.

  • Citigroup, Kotak Mahindra Capital, and Morgan Stanley have been appointed as lead investment bankers.
  • Indian IPO regulations require robust independent oversight, particularly when the board chairperson is a promoter or executive director.
