NSE IPO May See Stake Sales Worth Up to Rs. 23,000 Crore

The National Stock Exchange (NSE) is moving closer to its much-awaited initial public offering, with the issue expected to be dominated by an Offer for Sale (OFS) by existing shareholders.

According to estimates, the IPO could be sized between Rs. 20,000 crore and Rs. 23,000 crore, making it one of the largest public offerings in India.

OFS to drive the issue

NSE is expected to dilute around 4-5 percent of its equity through the IPO.

Since the exchange does not require fresh capital, the proposed issue is expected to primarily provide liquidity to existing investors.

PSU shareholders may account for bulk of the sale

Public sector institutions are likely to contribute a major portion of the OFS.

PSU shareholders are estimated to collectively sell shares worth around Rs. 15,500 crore, accounting for nearly two-thirds of the expected issue size.

LIC expected to be the largest seller

Among the existing shareholders, Life Insurance Corporation of India (LIC) is expected to emerge as the biggest contributor to the OFS.

The insurer could sell shares worth around:

  • Rs. 5,300 crore

LIC holds a sizeable stake in the exchange, and the transaction is expected to unlock value from its long-term investment.

SBI Group may sell shares worth Rs. 3,700 crore

The State Bank of India Group, including its subsidiaries and investment entities, is also expected to participate.

The group could collectively offload shares valued at:

  • Rs. 3,700 crore

Other investors likely to participate

Apart from government-linked shareholders, several institutional investors are expected to be part of the sale.

These include:

  • Temasek Holdings
  • GIC
  • The New India Assurance Company

Their participation could push the OFS size towards the upper end of the estimated range.

One of India’s most awaited IPOs

The NSE IPO has been anticipated for several years and is considered a landmark event for India’s capital markets.

As one of the world’s largest stock exchanges by trading volumes, NSE occupies a key position in the country’s financial infrastructure.

A successful listing is expected to:

  • Provide liquidity to shareholders
  • Increase public participation
  • Enhance transparency
